Public offer (licence agreement)

This document is an official proposal by individual entrepreneur Artem Petrovich Sklyarov to conclude a licence agreement on the terms below. It is a public offer under article 437(2) of the Civil Code of the Russian Federation.

1. Definitions

“Licensor” is individual entrepreneur Artem Petrovich Sklyarov, whose details are published on the company details page. “Licensee” is the person who accepts this offer. “Software” is Project GHOST, comprising the web portal at projectghost.ru/portal and an execution environment managed by the operator. “Licence” is a simple non-exclusive right to use the Software within the limits set out here. “Seat” is use of the Software on one Windows machine managed by the operator.

2. Subject

The Licensor grants a simple (non-exclusive) licence to use the Software for its intended purpose for the term and volume of the selected plan, and the Licensee pays the fee. The agreement follows articles 1235, 1286 and 1286.1 of the Civil Code of the Russian Federation. Exclusive rights are not transferred.

  • ✓Permitted use: running tasks through the web portal on the number of Seats in the plan
  • ✓Territory: the Russian Federation unless agreed otherwise in writing
  • ✓Term: the paid activation period

3. Acceptance

Acceptance is payment of the fee or the start of use of the provided access to the Software. Acceptance means full and unconditional agreement with this offer, the privacy policy, the terms of use and the acceptable use policy. A person who disagrees with any clause must not accept the offer.

4. Delivery of access

After payment is received the Licensor provides portal access and an operator-prepared managed Windows machine within one business day. Self-installation of a distribution by the Licensee is not provided. The Software is supplied electronically only; no physical media are shipped and no delivery is charged. The Licensor’s obligation is fulfilled when portal access and the operator-managed Windows machine are provided.

5. Price and settlement

One GHOST licence costs 10,000 (ten thousand) Russian roubles for one calendar month. Prepayment for 3, 6 and 12 calendar months costs 27,000, 48,000 and 84,000 roubles respectively. These prices cover the software license only; dedicated Windows server hosting is agreed and paid for separately. Renewal is manual. The Licensor uses a special tax regime and does not charge VAT. Payment is cashless through connected payment providers and is complete when funds are credited. Bank and payment-system fees are borne by the Licensee.

6. Licensee obligations

The Licensee must use the Software lawfully and in line with the acceptable use policy, independently assess the legality of its workflows, respect the rules of the sites and search engines the Software interacts with, and protect the licence key and sign-in credentials.

  • ✓No transfer of keys to third parties, resale or sublicensing
  • ✓No decompilation, modification or bypass of activation and protection
  • ✓No public publication of distributions or activation material

7. Warranty limits

The Software is provided “as is”. The Licensor warrants only that at the moment access is granted the Software operates as described on Windows x64 systems managed by the operator. No commercial, search or marketing outcome is guaranteed, external sites and search engines are outside the Licensor’s control, and the Licensor is not responsible for their interface, rule or algorithm changes or for restrictions they apply to the Licensee.

8. Limitation of liability

The Licensor’s aggregate liability is limited to the fee actually paid for the period in which the claim arose. Lost profit, indirect damages, data loss and reputational harm are not compensated. The Licensor is not liable for Licensee activity that breaches law or third-party rules, or for the Licensee’s own proxies, accounts and materials.

9. Force majeure

Neither party is liable for non-performance caused by events beyond reasonable control, including network and power failures, acts of public authorities and restrictions on access to internet resources.

10. Term and amendments

The offer is effective from publication until revoked. The Licensor may publish a new version; changes do not apply to already paid periods. The agreement runs until the paid period ends and may terminate earlier if the Licensee breaches this offer or the acceptable use policy.

11. Disputes

A pre-court claim procedure is mandatory: claims go to support@projectghost.ru and are answered within 30 calendar days. Unresolved disputes are heard by the court at the Licensor’s place of registration under the law of the Russian Federation.
